Terms of Service
Draft last updated October 2026
Draft for legal review. These terms are an initial draft and require review by appropriately qualified Canadian legal counsel before the service accepts live files. They are not yet binding and may change. Individual assignments will be confirmed in writing.
1. About these terms
These terms govern administrative underwriting and document-review support ("the Service") provided by BrokerMindAI Underwriting Support, an affiliated service of BrokerMindAI ("we", "us"), to mortgage agents, brokers, and brokerages ("you"). The Service is offered to businesses and professionals only, not to consumers or borrowers.
2. Service scope and exclusions
We provide administrative support such as document review, ratio calculations based on supplied information, identification of apparent gaps, written summaries, checklists, and organisation of submission or conditions packages, as agreed for each assignment.
The Service does not include, and we do not:
- communicate with, advise, or solicit borrowers;
- provide mortgage advice, recommendations, or credit decisions;
- guarantee lender approval, terms, or funding;
- submit files to lenders on your behalf;
- perform any activity requiring a mortgage licence or registration.
Lender-fit observations are preliminary and based on guidelines supplied or identified for the assignment, which may change without notice.
3. Your responsibilities
- You retain sole responsibility for the borrower relationship, borrower communication, document collection, advice, and all regulated brokerage activities.
- You confirm you have the necessary authority and borrower consent to share information with us for the assignment.
- You are responsible for the accuracy and completeness of information supplied and for verifying our deliverables before relying on or submitting them.
- You will supply documents only through the secure channel agreed for the assignment.
4. Fees, invoices, and additional work
Fees are fixed for the agreed scope and are confirmed before each assignment begins. Published prices are proposed starting prices; complex or non-standard files may require a written quote.
Invoices are payable within [NUMBER] days of the invoice date unless otherwise agreed in writing. [Payment method and any late-payment terms to be confirmed.]
Work outside the agreed scope will be quoted separately and will not begin without your approval.
5. Withdrawn, declined, or unfunded files
Fees are not contingent on a mortgage being approved or funded. Fees for work already completed remain payable if a borrower withdraws, a file is declined, or a transaction does not fund. [Treatment of partially completed work to be confirmed.]
6. Delivery timelines and dependencies
We will provide an expected delivery timeframe when confirming each assignment. Timeframes are estimates, not guarantees, and depend on receiving complete, legible materials and timely responses to questions. Missing or late information may extend delivery.
7. Confidentiality and secure document handling
We treat information supplied for an assignment as confidential and use it only to perform the Service. Documents must be exchanged only through the secure channel agreed for the assignment, never through our public website or enquiry form. [Retention and deletion periods for assignment materials to be confirmed.]
8. Intellectual property and use of deliverables
On payment, you may use deliverables prepared for an assignment for your internal business purposes and for the related mortgage file. We retain ownership of our templates, methods, and general know-how.
9. Limitation of liability
To the extent permitted by law, our total liability for any assignment is limited to the fees paid for that assignment, and we are not liable for indirect or consequential losses, lender decisions, or outcomes resulting from inaccurate or incomplete information supplied to us. [To be reviewed by counsel.]
10. Termination
Either party may end the working relationship by written notice. Fees for work completed up to the date of termination remain payable.
11. Disputes and governing law
We will try to resolve any concern informally first; please contact admin@brokermindapp.com. These terms will be governed by the laws of [PROVINCE] and the federal laws of Canada applicable there. [Dispute resolution process to be confirmed.]
